RULES AND BYELAWS

The Association of Physicians of India (Malwa Branch)
(Registered under the Society Registration Act XXI of 1961)


PREAMBLE
The vision of a few stalwart Physicians of India gave birth to the idea of forming the Association of Physicians of India in 1944 mainly to provide a common forum to the Physicians of India to meet and to share experience and research observations in the field of Medicine. API was registered at Madras on 23rd December, 1944 under the Societies Registration Act XXI of 1860 and now has several chapters and branches all over India. Following the path shown by the stalwarts of API, we are initiating the formation of Malwa Branch of API with the approval and support of patent body of Association of Physicians of India. (The names of the Founder Members are listed in Annexure I).

PART I: MEMORANDUM OF THE ASSOCIATION
1. The name of the Association is “The Association of Physicians of India (Malwa Branch).
2. The permanent office of the Association shall be situated at Kishori Ram Hospital Building, Basant Vihar, Bathinda, Punjab, India

EXPLANATION:
It is hereby declared that none of the objects or powers enumerated above shall be deemed subsidiary or auxiliary to the objects mentioned in any one or more of them.

PART II: RULES AND BYE-LAWS:1. Definitions and Abbreviations:
Unless otherwise specified in succeeding paragraphs,
A. “Association” means “The Association of Physicians of India (Malwa Branch)”,
B. “Office” means the “Office” of the Association at Kishori Ram Hospital Building, Basant Vihar, Bathinda.
C. “MAPICON” means the “Annual Conference of the Association of Physicians of India (Malwa Branch)”.
D. “Governing Body” means “The Governing Body of the Association of Physicians of India Malwa Branch” as constituted under these rules and bye- laws.
F. "Office Secretary” means “The permanent office Secretary of the Association”.
G. “Office Bearer” means a person holding the office of Chairman, Vice Chairman, Honorary General Secretary or Honorary Treasurer in the Governing Body as per these rules and bye-laws.
H. Member/Members means Member/Members of the various categories as specified in 2.1.
I. “Membership Register” means the register containing details of the Members maintained by the Association.
J. “A.G.M.” or “Annual General Body Meeting” means the Annual meeting of the members of the Association of Physicians of India (Malwa Branch).
1.1 All disputes regarding API Malwa Branch and their activities shall be subject to the jurisdiction of the court of law at the API Malwa Branch office at Bathinda only.

2. Membership:
2.1. The membership of the Association shall be of five categories, viz. (a) Patrons (b) Members, (c) Associate Members and (d) Honorary Members.

2.2. Eligibility Criteria for Various Categories of Memberships:2.2.1. Patrons:
Any corporate body or an individual donating (an amount as decided by the Governing Body from time to time) Rs.15000/- (Rupees fifteen thousand) can, at the discretion of the Governing Body, be enrolled as a Patron of the Association. Patron members shall have neither voting rights nor the right to propose or second any person for any post or hold any office of the Association.

2.2.2. Members:
2.2.2.1 Membership of the API is mandatory to become a member of API Malwa Branch. If applicant wants to become the member of API Malwa Branch, but is not a member of API, he/she should apply for both memberships that is for API and API Malwa Branch simultaneously or become the member of API within two year.
2.2.2.2 Members shall be required to possess a post-graduate degree such as MD/DNB, DM, or equivalent in Internal Medicine from any institution or university recognized by the Medical Council of India and/or approved by the Governing Body of the Association. MD General Medicine / Internal medicine includes specialties such as Cardiology, Gastroenterology, Diabetology, Nephrology, Neurology, Clinical Haematology, Chest & Tuberculosis, Endocrinology, Gerontology, Infectious Diseases, Allergy, Immunology, Rheumatology, Medical Oncology and others approved by the Governing Body and ratified by the General Body. Membership shall be open to residents of Malwa Region of Punjab only.

2.2.2.3. Any person qualified to be a Member could be enrolled as a Member of API Malwa Branch after agreeing to pay annual subscription (as applicable) that is non-refundable.

2.2.2.4. Persons otherwise eligible to be admitted as Members but who are not citizens of India may be admitted as Associate Members only, in the manner provided below. 2.2.2.5 Persons otherwise not eligible to be admitted as Members but who are MBBS or possess a post-graduate degree of other specialties other than Medicine may be admitted as Associate Members only, in the manner provided below.


2.2.3. Associate Members:
A person holding a under graduate or a post-graduate degree or diploma recognized by the Medical Council of India in any branch of medical science who is not eligible for membership (as stated in Rule 2.2.2 above) shall be enrolled as an Associate Member. Associate Members shall have no voting rights, nor the rights to propose, second any one or contest for any office of the Governing Body. Associate Members of the Association are not eligible for any oration, lectureship or any other award of the Association. Note: Persons – who are not citizens of India are covered by 2.2.2.4.

2.3. Membership Procedure:
2.3.1. The membership application shall be in a form prescribed by the Governing Body and shall be duly proposed and seconded by existing valid members. It shall be accompanied by documentary evidence of eligibility, qualification and prescribed fees by a bank draft/cheque/ cash payable at Bathinda.

2.3.2. The Governing Body is the final authority to admit applicants to all categories of membership. If an applicant is a life member of parent API, but the Governing Body thinks that the applicant may not be in best interest of the Association or has been found guilty of unethical practices by any enquiry, or by any court of law or by the department, The Governing Body has the absolute right to reject the application for membership. The Governing Body shall, also accept the resignation from membership, as also decide cessation of membership for any other reason.

2.3.3. The member has to give in writing and undertaking to abide by the Constitution of the Association and any act which violates the letter and spirit of the Constitution of the Association shall be disqualified immediately and the decision Governing Body shall be final.

2.4. Membership Fee:
2.4.1. The subscription for Membership or Associate Membership shall be (an amount as decided by the Governing Body from time to time) presently Rs. 500/- from 1st April to 31 of March every year or 2000/- for full term of five years.

2.4.2 Any member who fails to pay the subscription by 1st May shall be sent a reminder to pay the subscription by 1st June. If fail to pay subscription by 1st June, the name of such member shall be removed from the Membership Register and reapplication will only be admitted after clearing the previous dues with a fine of Rs. 1000/-.

2.5. Resignation
: A member wishing to resign his/her membership shall communicate the same to the Chairman in writing. Membership fee of such member shall not be refunded and the name of such member shall be removed from the Membership Register.

2.6. Cessation of Membership:
The Governing Body by a three fourth (3/4) majority of the members present in the meeting may remove the name of any member from the register of members for gross misconduct or defying the constitution of the association after sending him/her a notice by registered post and giving him/her a proper opportunity to defend himself/herself including a hearing in person. Such action of the Governing Body shall be final.

2.6.1 Any member who fails to pay the subscription by 1st May shall be sent a reminder to pay the subscription by 1st June. If fail to pay subscription by 1st June, the name of such member shall be removed from the Membership Register and reapplication will only be admitted after clearing the previous dues with a fine of Rs. 1000/-..
2.7. Membership Register:
A membership Register containing the names and addresses of members shall be kept at permanent office of API Malwa Branch. On receiving information from members, all changes pertaining to the members including their citizenship or addresses shall be recorded in the register. A list of members with their names and addresses shall be circulated to all members once in five years. The addendum shall be displayed on API Malwa Branch Website after the new member is approved by the Governing Body and regular updating of this list shall be done.
2.8. Privileges of Members
: 2.8.1. Only Members shall have the right to vote.
2.8.2. All Members shall have the privilege of registration for the Annual Conference at a confessional rate.

3. Governing Body:
3.2.1. Chairman.
3.2.2. Vice Chairman.
3.2.3. Honorary General Secretary.
3.2.4. Executive Committee (Three Members).
3.2.5 Regional Secretaries. (Each from a city under Malwa Branch).
3.2.6. Tenure:
a) The Tenure of Chairman, Vice Chairman, Hon. General Secretary, Regional Secretaries and Executive committee members shall be five year.
d) The Tenure of Office Secretary cum Treasurer will be permanent.

3.3. Elections:
3.3.1. Eligibility:
3.3.1.1. Chairman:
To contest for the post of Chairman, the candidate should be a Member of API Malwa Branch for at least 10 years and should have completed at least two full terms of 5 years each in any elected position in the Governing Body. Candidate should be having academic accomplishment of at least three original article publications in indexed journals or two chapters in ‘Medicine Update’ in last five years or four abstract publications.
3.3.1.2. Vice Chairman and Hon. General Secretary:
To contest for the Post of Vice Chairman and Hon. General Secretary, the candidate should be a member of API Malwa Branch for at least 5 years and should have completed at least one continuous full term of 5 years in any elected position in the Governing Body. The candidates should have a good academic record of participation in various academic activities.
3.3.1.3. Regional Secretaries:
To contest for regional Secretaries, continuous membership of the Association for at least 5 years is mandatory. 3.3.1.4. Members of Executive Committee:
To contest for Executive Committee continuous membership of the Association for at least 5 years is mandatory.
3.3.2. All the office bearers and members of the Governing Body shall be ordinarily residing in Malwa Region of Punjab during the tenure of their office and their dues are cleared for last ten years for the post of Chairman and last five years to contest elections for any other post.
3.3.3. A member shall not contest simultaneously for more than one post

3.4.1 Election and Election Procedure:
3.4.1.1 The elections shall be held every five year.
3.4.1.2. The Office Secretary shall send the information to all members through simple post, e mail, SMS and on API Malwa Branch Website inviting nominations before 1st February of the given year, it would be then the responsibility of Office Secretary to see that this circular is sent to all members by Post or other electronic means like E Mail, SMS and through member, to send nominations on prescribed Performa proposed and seconded by valid members of Association and duly signed by the candidate signifying his/her willingness to stand for the election and to serve in the Governing Body if elected and fully abide by the constitution of the association.
3.4.1.3. Nomination paper must reach the office of the association not later than 15th February every year.

3.4.1.4. The nomination paper must be accompanied by a demand draft/ cheque of (an amount as decided by the Governing Body from time to time) Rs. 1,500/- (Rupees Fifteen hundred only) favoring “Association of Physicians of India (Malwa Branch)” payable at Bathinda. A nomination paper not accompanied by a demand draft / cheque of Rs. 1,500/- shall be deemed invalid.

3.4.1.5. Canvassing in any form or in favor of the candidate shall not be permitted.

3.4.1.6. Each candidate shall declare in the specifically provided column in the nomination form, academic record and the period of his/her having served the governing Body. In case at any stage if it is proved that the declaration has violated rule he/she shall be debarred from contesting elections for a period of 10 years.

3.4.1.7. The Election shall be conducted from the office at Bathinda. An Election Committee consisting of three members nominated by the Governing Body shall conduct the Election. (One member from these 3 members shall be from Regional Secretaries). Any member contesting in the election shall not be part of the Election Committee.

3.4.1.8. The election process shall be conducted under the supervision of the Chief Electoral Officer who shall be solely responsible for initiating and conducting the elections as per API Malwa Branch Rules and Regulations in force. No other official of the API Malwa Branch shall have any role to play once the election process with inviting nominations for various posts is set in motion. In case the Chief Electoral Officer needs any clarification(s) and guidance, he shall seek the guidance from the Chairman, and if still need be from the Governing Body and he shall be answerable to the Governing Body on this account.

3.4.1.9. The Office Secretary shall inform the contesting candidates of all the nominations received for the post they are contesting by Speed Post / Registered Post and e-mail wherever available. If a candidate wishes to withdraw his/her nomination, he/she should inform the Office Secretary in writing on or before 21st February of the year.

3.4.1.10. In case of a contest for any post the Office Secretary shall send Ballot Paper to the members for voting by 1st March of the year by Registered Indian Post only. The Ballot Paper shall have an API Malwa Branch Stamp affixed on it. The ballot papers should bear the signatures of the Office Secretary and Chairperson of the Election Committee. Ballot will be sent along with envelope "A" to the Voter. The Ballot Paper with Serial No. written on its back shall be sent to the member along with Envelope bearing same Serial No. with his Name and Address along with provision for putting his signature by the member at the time of sending his Ballot Paper of API Office after he/she has cast his/her vote. Canvassing in any form and collection of Ballot Papers by contesting candidates and/or others is not allowed. If any candidate/member is found indulging in the same, he/she shall be disqualified from the election and shall be debarred from contesting elections for the next 10 consecutive years.

3.4.1.11. The Members should return the Ballot Paper after casting their vote to the Office by 20th March, 3 PM by registered India Post only and the Ballot Paper should be posted by the voter himself/herself from the city of his/her residence or nearby area. Ballot Papers received “By Hand” will not be accepted. Only Duplicate Ballot Papers sent by Single Courier also shall be accepted apart from Regular India Post.

3.4.1.12. If the deadline for any of these procedures falls on a Sunday or a Bank holiday, the next working day shall be deemed to be the deadline.

3.4.1.13. The ballot papers shall be opened and counted by the Election Committee in the presence of the contestants / their authorized representatives who are members of API Malwa Branch and whose signature shall be obtained on the Election Committee Report on 20th March at 6.PM. Before counting the Election Committee shall record the details of ballot papers printed, posted, received, undelivered from the post office and returned by the voters. The committee on the spot shall immediately decide objections or complaints if any from the candidates or their authorized representatives. The results shall be declared at the end of counting of votes and announced. The report shall be placed before the Governing Body for intimation.

3.4.1.14. Any Governing Body Member may resign his/her position by communicating the same in writing to the Chairman The resignation shall take effect from the date of its acceptance by the Governing Body.

3.4.1.15. Any Governing Body member who ceases to be a valid member for any reason shall be deemed to have vacated his office in the Governing Body.

3.4.1.16. All vacancies in the Governing Body except that of Chairman whether occurring as a result of uncontested position or otherwise shall be filled by the Governing Body taking written consent of the nominated member.

3.4.1.17. In the event of no nomination being filed for any post, the existing person will continue in that post or in event of his/her inability to continue, the governing council will fill that vacancy by nomination.

3.4.1 18. The counting of votes and declaration of result shall be done by a committee of the Honorary General Secretary, Vice Chairman and presided over by the Chairman.


3.5. Election Disputes:
3.5.1. In the first instance, any complaint pertaining to any process of election, if any, except counting of ballots must be lodged with the Chief Electoral Officer along with documentary proof of any irregularity before the start of the counting procedure. No complaint other than that of the counting procedure shall be entertained once the counting procedure has started. Complaints pertaining to the counting procedure or counting irregularities, if any, must be lodged in writing by the contestant or his representative with the Chief Electoral Officer during the counting procedure or immediately after the counting has been completed or within fifteen days after the completion of counting.
3.5.2. An Election Redressal Committee comprising of the Chairman, Honorary General Secretary, two Regional Secretaries and Chief Electoral Officer would review the evidence provided by the complainant and would give its ruling within 15 days and that will be final..


3.6. Co option of Members to the Governing Body:
3.6.1. The Organizing Secretary for the “MAPICON” the Annual Conference of API Malwa Branch will be nominated by the Chairman and if organized in any region of Malwa Branch, the Regional Secretary will be designated as Organizing Secretary.


4. Order of Precedence and Protocol
4.1. Order of precedence shall be as under: 1. Chairman 2. Vice Chairman. 3. Honorary General Secretary 4. Chairman, Scientific Committee 5. Organizing Secretary. 6. Regional Secretaries,
5. Meetings:

5.1. General Body:
5.1.1. The Chairman shall preside over all the meetings of the Governing Body and the General Body. If the Chairman is not present, Vice Chairman or in his/her absence, one of Regional Secretaries or in their absence Executive Committee member present at the meeting shall preside over the meeting.
5.1.2. Annual General Body Meeting: The Annual General Body Meeting of the Association shall be held each year on a day, time and place to be fixed by the Governing Body. The notice and agenda for the Annual General Body Meeting of the Association shall be posted at least 45 days in advance of the date fixed for the meeting.

5.1.3. The Governing Body shall submit an Annual Report of the proceedings of the Governing Body and its Committees, if any, and of the activities of the Association together with a statement of the assets and liabilities of the Association and an abstract of receipts and disbursements during the year and the report of the Auditors, if any.

5.1.4. The Chairman may, whenever he thinks fit upon requisition made in writing and signed by not less than 20 members of the Association, shall convene a Special General Body Meeting at such place as he may decide. Any requisition made by the members shall state the objects of the Special Meeting proposed to be called and shall be addressed to the Chairman.

5.1.5. The Office Secretary shall, upon receipt of such a requisition, proceed to convene, under orders of the Chairman, a Special General Body Meeting, which shall be held within sixty days from the date of receipt of such a requisition at a place and time fixed by the Chairman.

5.1.6. At the Special General Body Meeting, only the business to which notice has been given or such questions as naturally arise thereon shall be discussed.
5.1.6.1. Any member desiring to move a resolution at the Annual Meeting shall give notice of the same in writing to the Chairman at least 30 days before the date fixed for the General Body Meeting. 5.1.7. 50% members of the total membership strength present at a General Body Meeting shall form the quorum for that meeting.

5.1.8. If there is no quorum within half an hour from the time appointed for a General Body Meeting, the meeting if convened on the requisition of members, shall be dissolved, and in any other case, shall stand adjourned for half an hour and will meet on the same day and at the same place after the aforesaid period.

5.1.9. The person presiding at the General Body Meeting may, with the consent of the General Body, adjourn the same, but no business shall be transacted at any adjourned meeting other than the business left unfinished at the meeting at which the adjournment took place. No quorum shall be necessary for any adjourned General Body Meeting.

5.1.10. Subject to the law for the time being in force, the resolutions passed in a General Body Meeting shall be given effect to after approval of the Minutes at the next General Body meeting. Another General Body Meeting for confirmation of the minutes of the earlier General Body will be held at the time of the same annual conference.


5.2. Governing Body:
5.2.1. Governing Body Meetings: The Governing Body shall meet at such times as may be necessary for the transaction of the business of the Association.
5.2.2. A meeting of the Governing Body shall be convened by the Chairman with the consent of members of Governing Body. 5.2.3. At least thirty days notice shall be given to the members of the Governing Body for an ordinary meeting of the Governing Body. The Office Secretary shall convene a special meeting of the Governing Body on a requisition in writing signed by not less than 5 members of the Governing Body. However an urgent meeting of the Governing Body may be called at a shorter notice but notice should not be of less than 7 days.
5.2.4. Five members of the Governing Body shall be the quorum for the meeting of the Governing Body. If there is no quorum within 15 minutes after the appointed time, the meeting if convened on requisition, shall be dissolved, but in any other case shall stand adjourned for half an hour and meet at the same place and on the same day. For such an adjourned meeting a quorum will not be necessary and it may transact the business for which the meeting was called.
5.2.5. If the Chairman or the Governing Body so directs, any business of the Governing Body may be transacted by circular on paper instead of at a regular meeting

6. Management:
6.1. The management of the Association shall be vested in the Governing Body, who in addition to the powers by these Rules expressly conferred upon them, may exercise all such powers, and do all such acts and things, as may be exercised or done by the Association but which are not hereby or by law expressly directed or required to be exercised or done by the Association in a General Body Meeting.
6.2. Without prejudice to the general powers hereby conferred, the Governing Body shall have the following powers:
6.2.1. To acquire for the Association by purchase, lease or otherwise, any property, rights, or privileges which the Association is entitled to acquire at such price and generally on such terms and conditions as they may think fit.
6.2.2. To enter into all such negotiations and contracts or rescind and vary them, and execute and do all such acts, deeds and things, in the name and on behalf of the Association, as they may consider expedient for or pertaining to any of the properties, rights and privileges or the purposes of the Association
. 6.2.3. To borrow or secure the payment of any sum or sums of money for the purposes of the Association.
6.2.4. To institute, conduct, defend, compound or abandon any legal proceedings by or against the Association or otherwise concerning the affairs of the Association and to compound and allow time for payment or satisfaction of any debts due and of any claims or demands by or against the Association.
6.2.5. To refer any claim or demands by or against the Association to arbitration and to observe and implement the awards. 6.2.6. To make and give receipts, release and other discharges for money payable to the Association and for the claims and demands of the Association.
6.2.7. To receive donations and any other sums of money and all and any other material, articles and things due to or intended for the Association.
6.2.8. To incur all necessary expenses for the maintenance and carrying out of the objects and intentions of these Rules and Memorandum of the Association.
6.2.9. To appoint one or more persons whether members or otherwise to constitute a Board of Examiners, whenever necessary.
6.2.10. To appoint and, at their discretion, remove or suspend such managers, clerks, agents and servants for permanent, temporary, or special services as they may from time to time think fit, and to determine their powers and duties and fix their salaries and emoluments and to require security in such instances and to such amount as they may think fit.
6.2.11. 6.2.12. To nominate the Convener from amongst the members of such a Committee. The Chairman will preside over such Committee meetings and the Convener shall be responsible for convening the meeting, keeping its accurate minutes and forwarding the reports of these Committees to the Governing Body.
6.2.13. To make, vary and repeal bye-laws pertaining to the regulation of the business of the Association, its officers, managers, clerks, agents and servants.


7. Property, Money and Accounts:
7.1. The property, moveable or immoveable, belonging to the Association shall vest in the Governing Body.
7.2. No sale, exchange, mortgage, lease or other transaction of immovable property belonging to the Association shall be valid unless at least the Chairman or the Honorary General Secretary executes the document concerned.

7.3. All moneys of the Association shall be deposited and/or invested:
7.3.1. In approved Bank or Banks.
7.3.2. In Government and other negotiable trustee securities or in any mode permitted under the Act or in accordance with the administrative orders of the Government from time to time.
7.3.3. Accounts and other investments of the Association shall be operated by any two persons out of the following three viz. the Chairman, Office Secretary or Treasurer.

8. Duties of Office Bearers:
8.1. Chairman:

The Chairman shall preside over the General Body, Governing Body, Faculty Council meetings and all other official meetings & functions of the Association. The Chairman shall guide the activities of the Association and its aims & objectives. The Chairman may allocate all or any of the powers and duties under this or any other clause of the constitution to any other office bearer as he/she may deem fit and necessary for the discharge of his duties.
8.4.2. Have administrative control over all the affairs of the Association,
8.4.9. All notice, communications, letters, memoranda and other papers whether they are acts of the Governing Body or of the General Body shall be signed or authenticated by the Chairman and when so signed or authenticated shall be conclusive.

8.2. Vice Chairman:
The Vice Chairman will preside over the meetings in the absence of the Chairman. The Vice Chairman will act according to the duties assigned by the Chairman and actively help the Chairman to further the aims and objects of the Association in general and in the regions of Malwa Branch in particular.


8.4. Honorary General Secretary:
Subject to the control and regulation of the Governing Body, the Honorary General Secretary shall be responsible for carrying out the directions and decisions of the Governing Body and the Chairman.


8.5 Office Secretary cum Honorary Treasurer: Office Secretary shall:
8.5.1. Convene meetings of the Governing Body whenever directed by the Chairman.
8.5.2. Keep accurate minutes of all meetings of the Association and Governing Body,
8.5.3. Prepare the Annual Report of the Association,
8.5.4. Be in charge of the furniture, library and all documents and other assets of the Association,
8.5.5. Collect all dues of the Association and deposit such amounts into the bank account of the Association, and inform the Honorary Treasurer at least once a month of the moneys so received and deposited.
8.5.6. Make disbursements and maintain vouchers.
8.5.7. Perform such duties as are incidental to his/her office.
8.5.8.The Treasurer shall maintain true accounts of the funds and other assets of the Association and of funds and other assets connected with or in any way controlled by the Association.

9. Miscellaneous Administrative Rules
9.1. Any Suggestion / resolution submitted at a meeting of the Governing Body shall be decided by the majority of the votes cast by the members present and voting at the meeting. In case of equality of votes, the person presiding shall have a second or casting vote in addition to his vote as a member.
9.2. At least once every year, the accounts of the Association shall be examined and audited and their correctness ascertained by one or more registered auditors appointed for the ensuing year by the members at the Annual General Body Meeting each year. The report of the Auditor or Auditors shall form part of the Annual Report submitted to the next General Body Meeting. The Auditors of the Association shall hold office until the next Annual General Body Meeting. The retiring Auditor or Auditors may be reappointed.
9.3. Any notice required by these Rules may be sent by ordinary post, a prepaid letter to the person concerned on the address mentioned in the register of members and the same shall be deemed to have been received by him on the date on which it would have reached him.
9.4. Keeping in mind that members of the Association should present to the society as role models, every effort will be made to keep the member fit with regular exercise and life style modifications. In this endeavor no alcohol drinks will be served during the scientific functions of the associations. Efforts will be made to follow total prohibition from alcohol during all social functions of the association. Any member insisting on serving alcohol or consuming alcohol during the functions will be immediately disqualified and will cease to be the member of the Association without any explanation This clause is immune to any amendment or change that is it can’t be changed by any one at any point of time.


10. Shares or Fees to be paid to Central Office of API:
50% of the delegation fee from all categories of delegates of the Annual Conferences of the Association as per factual collection shall be paid to the Central Office of the Association by the Organizing Secretary latest by 31st March of the Given year in which Conferences of the Association is held. 10% of the Exhibition Stalls Charges shall also be given to API HQS by the Organizing Secretary latest by 30th June of the given year in which Conferences of the Association is held. All accounts of the Conferences including those of the Scientific Committee shall have to be audited and a copy submitted to the central office within one year by the organizers/Chairman Scientific Committee of the Annual Conference of the Association.

11. Amendment and Repeal:
11.1. Subject to the law in force at the time, the General Body shall have the power to add, vary or repeal any of the provisions contained in the rule except for rule relating to serving alcohol drinks. Such additions, variation so repeals can be affected by means of a resolution of which due notice has been given and which has been associated assented to by the vote of at least two-thirds of the majority of the members present at the Annual General Body meeting.
14.2. The Annual General Body meeting shall take up the proposal for amendment (additions, variations or repeal) once every five years starting with the year 2013.The notice of such amendment shall be given by the member to Chairman by 28th February of each year. These proposals shall be discussed by the Governing Body in the March - April meeting and shall be posted for discussion with their comments if any in the Annual General Body meeting.
14.3. The proposal submitted by the members shall confirm to the format and lay out of the constitution in the following manner; the member / members may append a note explaining the reason / necessity / justification of their proposal. Proposal not conforming to the format shall be returned by the Chairman for resubmission in the prescribed format.
14.4. Any proposal / suggestion which has been discussed in the Annual General Body meeting and which has been rejected shall not be brought again for discussing proposals for constitutional amendment.
